Acceptance of Terms

By accessing and using the services of ConlineWeb, you agree to be legally bound by these Terms and Conditions. If you do not agree with any part of these terms, you must refrain from using our services.

These terms constitute a legal agreement between you (the "Client") and ConlineWeb (the "Service Provider"). We reserve the right to modify these terms at any time, notifying changes through our website.

Continued use of our services after any modification constitutes your acceptance of the new terms.

Services and Scope

ConlineWeb offers professional web development services, digital design, technology consulting, and customized digital solutions. Our services include but are not limited to:

  • Responsive website and web application development
  • User interface design (UI/UX)
  • Digital strategy consulting
  • Website maintenance and technical support
  • SEO optimization and digital marketing
  • E-commerce development
  • System and API integration

Service Scope

Each project is defined through a specific agreement detailing scope, timeline, deliverables, and costs. Any work outside the agreed scope will require a contractual modification.

Intellectual Property

Intellectual property rights of developed works are transferred to the client upon full payment of the project. However, there are important reservations:

Client Rights

  • Full ownership of source code developed specifically for the project
  • Unlimited usage rights for created design and content
  • Perpetual license to modify and distribute delivered work

ConlineWeb Rights

  • Right to display work in our portfolio and promotional materials
  • Ownership of internally developed libraries, frameworks, and reusable code
  • Rights over proprietary methodologies, processes, and know-how

The client guarantees possession of necessary rights for any material provided for the project and releases ConlineWeb from any third-party infringement claims.

Payments and Billing

Our payment policy is designed to ensure transparency and mutual fulfillment of contractual obligations.

Payment Structure

50% at project initiation
30% upon design approval
20% upon project completion

Cryptocurrencies

Late Payment Policy

Overdue invoices incur 2% monthly interest
Service suspension for late payments

Refunds and Cancellations

  • Initial deposits are non-refundable once work has commenced
  • Cancellations with less than 50% progress may incur charges for work performed
  • Projects canceled after final approval are not eligible for refund

Payment delays may result in immediate service suspension and withholding of deliverables until the situation is regularized.

Client Responsibilities

To ensure project success, the client has the following responsibilities:

  • Provide necessary content, images, and materials in agreed formats and timelines
  • Review and approve deliverables within established timeframes
  • Designate an authorized representative for project decisions
  • Provide access to necessary systems, platforms, and credentials
  • Communicate requirement changes in a timely and formal manner
  • Comply with established payment deadlines in the contract

Consequences of Non-Compliance

Client non-compliance with these responsibilities may result in:

  • Project delivery delays
  • Additional charges for waiting time
  • Modification of delivery timelines
  • In severe cases, contract termination

Warranties and Limitations

Provided Warranties

  • 30-day warranty for programming error correction
  • Compatibility with modern browsers per agreed specifications
  • Functionality according to established technical requirements
  • Post-delivery technical support per contracted plan

Liability Limitations

  • We do not guarantee specific search engine ranking
  • We are not responsible for third-party service failures (hosting, external APIs)
  • Maximum liability is limited to the total project amount paid
  • We do not cover damages from misuse or unauthorized modifications

We recommend maintaining regular backups and contracting reliable hosting services to ensure operational continuity.

Confidentiality

Both parties commit to maintaining confidentiality of sensitive information shared during the business relationship.

Confidential Information

  • Business strategies and commercial plans
  • Financial information and cost structures
  • Client and supplier lists
  • Proprietary source code and algorithms
  • Technical documentation and internal manuals

Exceptions

Confidentiality obligations do not apply to information that:

  • Was already public domain at time of disclosure
  • Is legally obtained from third parties without confidentiality obligation
  • Must be disclosed by legal mandate or court order
  • Is independently developed without use of confidential information

Violation of confidentiality agreements may result in legal action and damage claims.

Contract Termination

Termination Causes

The contract may be terminated by either party under the following circumstances:

  • Material breach of contractual obligations
  • Inability to fulfill terms due to force majeure
  • Mutual written agreement of both parties
  • Insolvency or bankruptcy of either party

Termination Procedure

  • Written notification with 30-day advance notice
  • 15-day opportunity to remedy breaches
  • Settlement of payments for work completed to date
  • Delivery of pending materials and documentation

Upon termination, the client retains rights to work delivered to date, subject to full payment for services rendered.

Legal Aspects

Applicable Legislation

These terms are governed by the laws of Mexico, specifically the State of Guanajuato. Any dispute shall be resolved in the competent courts of León, Guanajuato.

Dispute Resolution

  • Direct negotiation as mandatory first step
  • Mediation with neutral third party if negotiation fails
  • Arbitration as alternative to judicial proceedings
  • Legal action in courts as last resort

Severability

If any provision of these terms is declared invalid or unenforceable, the remaining provisions shall maintain full validity and effect.

Non-exercise of any right by ConlineWeb shall not constitute a waiver of such right in the future.
