Important notice: This document is issued under applicable Mexican law for digital services and consumer relationships. It does not replace personalized legal advice. Terms agreed in writing in quotes, purchase orders, or signed contracts prevail when more favorable to the client and not contrary to law.
Unless otherwise agreed in writing, deliverables developed by ConlineWeb for a specific client are governed by the rules below, in line with Mexico’s Federal Copyright Law, the Federal Civil Code, and our Terms & Conditions.
Once the project is paid in full (or the corresponding phase, if transfer by milestone was agreed), the client receives usage and exploitation rights over:
Transfer does not automatically include rights to preexisting assets, internal templates, proprietary frameworks, or reusable libraries owned by the Provider.
Projects may include third-party software under their own licenses (WordPress, GPL/commercial plugins, fonts, stock images, APIs, SDKs). The client is responsible for complying with those licenses and, where applicable, purchasing or renewing commercial licenses.
ConlineWeb will disclose at delivery any components that require recurring fees or usage restrictions.
The client represents that they have sufficient rights to texts, images, logos, databases, and materials they provide for the project, and holds ConlineWeb harmless from claims for intellectual property or image-rights infringement.
Unless confidentiality is agreed in writing, ConlineWeb may include the project in its portfolio, case studies, and marketing materials, naming the client or industry without disclosing confidential information.
At project close, ConlineWeb will deliver or transfer the agreed admin access (domain, hosting, CMS, repository). The client must change passwords and assume custody. Retention of access due to late payment or contractual dispute does not transfer ownership to the Provider.
